Change Order Requirement Waived At Meetings Changes-directed; Waiver

A Minnesota court has ruled that a project owner waived a written change order requirement by orally directing changes at project meetings.

West Bloomington Motel, Inc. (WBM) awarded a design/build contract to Vanman Companies Architects and Builders for renovation of a motel property. When the design phase was complete, the parties signed a fixedprice "Part 2 Agreement" for the construction work. The agreement included the following provision.

"This Part 2 Agreement represents the entire agreement between the Owner and the Design/Builder and supersedes prior neg [...]
